Chiarelli Academy Terms of Use

1. Who we are

Chiarelli Academy is operated by Chiarelli Labs, registered under Brazilian CNPJ 62.822.123/0001-65. Contact and support: leonardo@chiarelli.dev.

By buying a course, subscribing to Chiarelli AI Setup or creating your access, you agree to these Terms and the Privacy Policy.

2. The course "From Code to Contract"

Course 01 includes:

• a PDF guide;
• 13 editable templates;
• a working spreadsheet;
• ten prompts;
• a completed fictional practical case;
• a seven-day plan;
• nine video lessons.

The lessons are captioned videos, streamed privately in the student area and available for individual download on each lesson page. The format and length may vary between editions.

The following are not included:

• individual mentoring;
• guaranteed results;
• subscriptions to external tools.

To use the materials, you need an up-to-date browser, a PDF reader, and spreadsheet software (Excel, Google Sheets, or equivalent).

Courses 03 and 04 teach Brazilian rules in every language. Tax rules change: each rule cited includes its effective date and a link to the official source. The content is educational and does not replace financial, accounting, tax, foreign exchange, or legal advice, nor is it an investment recommendation.

3. Price and payment

For each course, the applicable price is the one shown in the catalog and checkout. Courses are charged once, with no enrollment fee or additional charge from the Academy. The optional Chiarelli AI Setup subscription is purchased separately, renews automatically and follows section 15. Anyone who purchased before this update keeps the terms in effect on the date of their purchase.

Payment is processed by Stripe. Available payment methods may include Pix, card, Apple Pay, and Google Pay, depending on your transaction. Card data remains with Stripe and is not stored by the Academy.

4. Account and access

You sign in with your Google account or a code sent by email. Access is granted to the email address used for the purchase. Therefore, sign in and pay using the same email address. If the addresses differ, the purchase will not appear in your account. In that case, contact us.

Access is granted after Stripe confirms payment. This usually takes a few seconds. Some payment methods may take longer.

The account is personal. You are responsible for keeping access to your email and Google account secure. Do not share access codes.

5. What lifetime access means

Lifetime access means that the course purchased has no expiration date. It remains valid while Chiarelli Academy is in operation.

We may update and improve the content. We will not remove items advertised at purchase without offering an equivalent replacement.

6. Right of withdrawal and refund

You may withdraw from the purchase within 7 calendar days. The period begins when payment is confirmed or access is granted, whichever occurs later. The request does not require an explanation and is valid regardless of whether you have accessed, used, or downloaded the materials.

To request a refund, email leonardo@chiarelli.dev from the email address used for the purchase, or use the feedback form in the member area, signed in to your account. When you use the form, the submission date counts as the request date. We will confirm receipt and refund the amount paid for the requested items, without deducting fees, through Stripe to the same payment method. If one purchase includes more than one course, you may request a refund for an individual item. The refunded amount will be the original net amount paid and allocated to that item; the remaining items and their access will not change. For card payments, we ask the card issuer not to post the charge to the statement or, if it has already been posted, to reverse it. The time for the credit to appear depends on the card issuer or bank.

Once the refund is confirmed, access granted by the requested items will end. If you have another valid purchase for the same course, your access will continue. Your other rights under applicable law remain protected.

The right of withdrawal must be exercised in good faith. We record each student's downloads for support and fraud prevention. Repeated purchase and refund requests, or other signs of abusive use, will be reviewed individually and may result in new purchases being blocked, without prejudice to the rights provided by the Brazilian Consumer Protection Code.

7. License to use the materials

The purchase grants you a personal, non-exclusive, non-transferable license to use the course materials. The license does not transfer intellectual property ownership, which remains with Chiarelli Labs.

You may:

• study the content;
• use and adapt the templates, spreadsheet, and prompts in your work, including with your own clients.

You may not:

• resell, redistribute, or publish the materials, in whole or in part, as your own product;
• share your login or the files with other people;
• use the content to create a competing course or to train artificial intelligence models.

8. Misuse and suspension

If we identify access sharing, resale, or fraud, we will notify you by email and allow time for a response before suspending access. This process does not apply in cases of clear fraud, such as a payment that has been improperly disputed. Refunds will be preserved where required by law.

9. Platform shutdown

If Chiarelli Academy ceases operations:

• we will provide at least 90 days' notice by email;
• during that period, all course materials, including the videos, will be available for download;
• your license to use the downloaded files will remain valid.

If you have a Chiarelli AI Setup subscription, renewals stop being charged and you keep the files already installed, under the license.

10. Liability

The course is educational material. It is not individual legal, accounting, or business consulting, and results depend on how each person applies the content. We are responsible for the content and access under the Brazilian Consumer Protection Code.

11. Privacy

Personal data processing follows the Privacy Policy. It describes the data processed, the legal bases, the vendors, and how to exercise your rights.

Optional Google Analytics and Vercel metrics depend on a separate choice under "Analytics preferences". Rejecting these metrics does not affect the purchase, access, or use of the course.

12. Support

Questions, complaints, and cancellation requests: leonardo@chiarelli.dev. We confirm receipt and respond within 5 business days.

13. Changes to these Terms

We may update these Terms, stating the date and version at the top of the page. Changes do not reduce rights for purchases already made.

14. Governing law and venue

These Terms are governed by Brazilian law, particularly the Brazilian Consumer Protection Code. The courts of the consumer's place of residence shall have jurisdiction.

15. Chiarelli AI Setup subscription

Chiarelli AI Setup is a monthly or annual subscription, with automatic renewal, that gives access to the AI configuration kit for development and its updates. The price of each plan is shown at checkout before you confirm. The subscription requires active access to at least one purchased course, with no refund and no dispute. It is independent of the courses, which remain a one-time payment.

Payment is processed by Stripe, by card. Each renewal charges the plan price using the same payment method until you cancel.

On the first purchase of the subscription, monthly or annual, you may withdraw within 7 calendar days, without giving a reason. Make the request through the same channel as section 6: write to leonardo@chiarelli.dev from the purchase email or use the feedback form in the members area. Once the request is accepted, we refund the first charge to the same payment method and access to the subscription ends immediately. Renewals are not refundable: you can only cancel the next charge.

You cancel in the subscription portal, in the members area. Cancellation takes effect at the end of the period already paid, and access continues until then. There is no penalty or additional charge.

If a renewal fails, access continues while Stripe retries the charge. Access ends when the subscription is canceled or becomes unpaid.

The subscription requires that you keep active access to at least one course. If you lose that access, through a refund or a chargeback or dispute of the only course that made you eligible, the subscription continues until the end of the period already paid and does not renew. Access continues until the end of that period.

The Chiarelli AI Setup license is individual. You may use the kit on any project, including client projects. You may not redistribute or resell the kit, in whole or in part. Each developer needs their own subscription.

After cancellation, the files you already installed stay with you, under the license. Kit downloads and updates are no longer available.

Each downloaded package contains a random identifier linked to your account, used to deter redistribution. The identifier does not include your name, email or any other data that directly identifies you.

There is no guaranteed update cadence. We publish new versions when they make sense, with no promised schedule or frequency.

We test each kit version with Claude Code and Codex. Cursor and Gemini CLI are compatible on a best-effort basis, without testing every version. Gemini CLI requires an API key or a Code Assist license.
